Terms & Conditions
These Terms govern access to and use of MarketingStride, including accounts, purchases, subscriptions, generated outputs, customer data, and acceptable use.

Agreement and Acceptance
These Terms & Conditions ("Terms") are an agreement between MarketingStride ("MarketingStride," "we," "us," or "our") and the individual or entity accessing or using the MarketingStride services ("you" or "your"). These Terms govern your access to and use of MarketingStride, including our website, application, analyses, reports, generated outputs, and related services (collectively, the "Services").
BY CREATING AN ACCOUNT, CHECKING THE BOX INDICATING THAT YOU AGREE TO THESE TERMS, PURCHASING OR USING THE SERVICES, OR OTHERWISE ACCESSING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND ACKNOWLEDGE OUR PRIVACY POLICY.
If you access or use the Services on behalf of a company, organization, or other entity, you represent that you have authority to accept these Terms on its behalf and bind that entity to these Terms. In that case, "you" and "your" also refer to that entity.
If you do not agree to these Terms, you may not create an account, purchase or access the Services, or use MarketingStride.
Privacy Policy
MarketingStride's Privacy Policy describes how we collect, use, disclose, retain, and otherwise process personal information in connection with the Services. The Privacy Policy is incorporated into these Terms by reference where applicable. By accepting these Terms, you acknowledge that you have had the opportunity to review the Privacy Policy.
Definitions Used in These Terms
For clarity, the following recurring terms are used in these Terms. Additional defined terms may appear in the numbered sections below and are preserved where used.
- Account means the MarketingStride account through which a customer accesses the Services.
- Customer Data means information, content, URLs, inputs, or other material submitted or made available by or on behalf of a customer in connection with the Services.
- Services, also referred to in these Terms as the Service, means the MarketingStride website, application, analyses, reports, generated outputs, and related services made available by MarketingStride.
- Outputs means reports, analyses, Q&A, structured-data guidance, exports, or other artifacts generated by the Services from Customer Data or analyzed source material.
- Subscription means a paid recurring plan providing access to specified MarketingStride capabilities and allowances for the applicable billing period.
- Property means a website, domain, subdomain, page, or other digital property submitted for analysis through the Services, as applicable to the product.
1. Acceptance of Terms
Welcome to MarketingStride. These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and MarketingStride LLC, a Texas limited liability company ("MarketingStride," "we," "our," or "us"), governing your access to and use of the MarketingStride website, applications, software, reports, implementation artifacts, services, and related offerings (collectively, the "Service"). By accessing, registering for, purchasing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a company, organization, agency, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "Customer," "you," and "your" refer to both you and that entity.
2. Definitions
For purposes of these Terms: Account means the registered account used to access the Service. Authorized User means an individual authorized by the Customer to access and use the Service under the Customer's account or subscription. Customer Data means all information, website content, URLs, files, documents, or other materials submitted by or on behalf of the Customer for analysis or use within the Service. Discovery means MarketingStride's one-time purchase offering providing access to the features identified at the time of purchase. Free Preview means MarketingStride's limited introductory offering made available without charge. Generated Outputs means reports, implementation artifacts, analyses, recommendations, visualizations, exports, or other materials produced by the Service based upon Customer Data. Implementation Artifacts means platform-generated implementation materials derived from Customer Data, including but not limited to AI Discovery Files, LLMs.txt files (where supported), generated question-and-answer content, JSON-LD guidance, structured data guidance, implementation recommendations, reports, exports, and future supported artifact types. Service means the MarketingStride software-as-a-service platform together with all associated applications, websites, reports, documentation, implementation artifacts, and related functionality made available by MarketingStride. Subscription means any recurring commercial plan providing ongoing access to the Service.
3. Service Description
MarketingStride is a software-as-a-service platform designed to help organizations better understand how artificial intelligence systems interpret website content. The Service analyzes publicly accessible website content or content intentionally submitted by the Customer and may: Evaluate website pages and websites. Identify key points and supporting information. Assess answer readiness. Evaluate structured data implementation. Generate implementation artifacts. Produce reports, recommendations, and supporting documentation. Compare analyses across multiple evaluations. Evaluate publicly accessible competitor websites. MarketingStride continuously improves the Service and may introduce new features, functionality, analyses, implementation artifacts, reports, or commercial offerings over time. Unless otherwise stated, new functionality is governed by these Terms.
4. Generated Outputs & Artificial Intelligence
MarketingStride generates implementation artifacts based upon Customer Data. Generated Outputs are intended to assist Customers in understanding how their existing content may be interpreted by AI systems and identifying opportunities for improvement. Generated Outputs are derived from Customer content and are not intended to replace independent business, legal, regulatory, or technical judgment. MarketingStride may generate: AI Discovery Files LLMs.txt files (where supported) Generated Q&A JSON-LD guidance Structured data recommendations Implementation guidance Reports Exports Other supported implementation artifacts MarketingStride does not automatically publish Generated Outputs, modify Customer websites, deploy implementation changes, or represent that Generated Outputs should be implemented without Customer review. Customers remain solely responsible for reviewing Generated Outputs before implementation or publication. 4.1 Rights in Customer-Specific Generated Outputs Subject to these Terms and payment of applicable fees, MarketingStride grants Customer a worldwide, non-exclusive, royalty-free right to use, reproduce, modify, implement, and publish Customer-specific Generated Outputs and Implementation Artifacts for Customer's own business purposes. This right does not transfer ownership of, or grant rights in, MarketingStride's underlying software, algorithms, methodologies, scoring or evaluation systems, prompts, templates, report structures, reusable components, models, workflows, or other technology used to create or deliver the Generated Outputs. Because automated and artificial-intelligence-assisted systems may produce similar or identical material for different users, MarketingStride does not represent that any Generated Output is unique to Customer or eligible for intellectual-property protection.
5. Eligibility & Accounts
To use the Service, you must have the legal capacity to enter into a binding agreement. MarketingStride is intended primarily for business and professional use. Individuals may also use the Service provided they comply with these Terms and applicable law. You must be at least eighteen (18) years old to create an Account. MarketingStride may refuse, suspend, restrict, or terminate access where reasonably necessary to: comply with applicable law; protect the security or integrity of the Service; prevent fraud or abuse; protect MarketingStride, its Customers, or third parties; or enforce these Terms. You are responsible for maintaining the confidentiality of your Account credentials and for all activity occurring under your Account. Account credentials may not be shared except where expressly permitted by the applicable Subscription. Customers are responsible for promptly removing access for individuals who are no longer authorized to use the Service. Where supported by the applicable Subscription, Customers may authorize additional Authorized Users. Customers remain responsible for all activities performed by Authorized Users.
6. Customer Responsibilities
Customers agree to: Use the Service only for lawful purposes. Submit or analyze only content they are legally permitted to access or analyze. Maintain accurate account, contact, organization, and billing information. Maintain valid payment information for paid Services. Protect Account credentials. Review Generated Outputs before implementation or publication. Respect MarketingStride's intellectual property. Comply with these Terms and all applicable laws. MarketingStride supports the evaluation of publicly accessible competitor websites. Customers remain responsible for ensuring that their use of competitor analysis complies with applicable law and contractual obligations. Customer further represents that MarketingStride's processing of Customer Data in accordance with Customer's instructions and these Terms will not knowingly violate Customer's contractual obligations or the intellectual-property, privacy, confidentiality, or other rights of a third party. Customer represents and warrants that it has all rights, licenses, permissions, notices, consents, and lawful authority reasonably necessary for Customer to provide Customer Data to MarketingStride and to direct MarketingStride to access, process, analyze, store, reproduce, or otherwise use Customer Data as contemplated by these Terms. 6.1 Customer Rights and Permissions
7. Commercial Terms
7.1 Commercial Offerings MarketingStride offers both one-time purchases and recurring subscription plans. The features, usage allowances, pricing, and availability of each offering are described on the MarketingStride website or within the Service at the time of purchase. Commercial offerings may include: Free Preview Discovery one-time purchases Monthly subscription plans Annual subscription plans Additional usage purchases, where offered Future commercial offerings introduced by MarketingStride MarketingStride may introduce, modify, or discontinue commercial offerings from time to time. 7.2 Free Services MarketingStride may provide certain features or services without charge, including previews, evaluations, demonstrations, or trial functionality. Free Services are provided on an "as available" basis, may provide limited functionality, and may be modified, suspended, or discontinued at any time. Free Services are intended solely to introduce the Service and should not be relied upon as a substitute for paid Services. 7.3 Discovery One-Time Purchases Discovery is a one-time purchase providing access to the features identified at the time of purchase. Discovery purchases: do not automatically renew; do not create an ongoing subscription; are governed by these Terms and the Refund Policy. 7.4 Subscription Plans Recurring subscriptions are billed in advance on either a monthly or annual billing cycle. Monthly and annual subscriptions automatically renew at the end of their respective billing periods unless cancelled before the applicable renewal date. Cancelling a Subscription prevents future renewal charges but does not immediately terminate access to the current paid subscription period. 7.5 Billing and Payment Customers authorize MarketingStride to charge the payment method associated with their Account for all applicable: subscription fees; one-time purchases; taxes; and other authorized charges. Customers are responsible for maintaining current billing information and a valid payment method. MarketingStride uses third-party payment processors. Payment processing is subject to the terms of the applicable payment processor. MarketingStride does not store complete payment card numbers. 7.6 Pricing Current pricing is published on the MarketingStride website. MarketingStride may change pricing for future purchases or future billing periods by providing at least thirty (30) days' advance notice before the new pricing becomes effective. Price changes do not affect: fees already paid; active Discovery purchases; or the remainder of an already-paid annual subscription term. 7.7 Taxes Unless otherwise stated, published prices exclude applicable taxes. Customers are responsible for all applicable sales, use, value-added, or similar taxes arising from their purchase or use of the Service, excluding taxes based solely on MarketingStride's income. 7.8 Usage Allowances Certain commercial offerings include usage allowances authorizing specific actions within the Service. Usage allowances vary by Subscription and are described within the Service. Unless expressly stated otherwise: allowances reset each billing period; unused monthly allowances do not roll over; allowances may not be transferred; allowances have no cash value. MarketingStride may offer additional usage purchases where available. 7.9 Cancellation Customers may cancel recurring subscriptions at any time through their Account or by contacting MarketingStride. Monthly subscriptions remain active through the end of the current monthly billing period. Cancellation prevents future renewal charges but does not entitle the Customer to a refund except as required by law or provided in the MarketingStride Refund Policy. Annual subscriptions remain active through the end of the prepaid annual subscription term. Cancellation prevents automatic renewal at the conclusion of the annual term. Because annual subscriptions are prepaid for the full subscription period, MarketingStride does not provide prorated or partial refunds for unused portions of an annual subscription except where required by applicable law or as described in the Refund Policy. Customers retain access to subscribed Services through the end of the applicable paid subscription period. 7.10 Failed Payments If payment cannot be successfully processed, MarketingStride may: retry the payment; request updated payment information; notify the Customer; suspend paid features; or terminate the Subscription in accordance with these Terms. Except where immediate action is reasonably necessary to prevent fraud, abuse, or protect the Service, MarketingStride will make reasonable efforts to provide Customers an opportunity to update payment information before suspending or terminating paid Services. 7.11 Refunds Refund eligibility is governed exclusively by the MarketingStride Refund Policy, which is incorporated into these Terms by reference. 7.12 Promotional Offers MarketingStride may offer promotional pricing, discounts, trials, or other incentives. Unless expressly stated otherwise, promotional offers: are temporary; may not be combined; have no cash value; and may be modified or discontinued at any time.
8. Customer Data
Customers retain ownership of all Customer Data submitted to the Service. MarketingStride does not claim ownership of Customer websites, content, business information, or submitted materials. By using the Service, Customers grant MarketingStride a limited, worldwide, non-exclusive, royalty-free license to access, process, analyze, store, reproduce, and display Customer Data solely as reasonably necessary to: provide the Service; generate analyses and implementation artifacts; provide customer support; improve platform functionality; maintain security and system integrity; and comply with applicable law. MarketingStride will not sell Customer Data. MarketingStride may create aggregated or de-identified information that cannot reasonably identify an individual Customer or Customer website. MarketingStride may use such information for analytics, service improvement, benchmarking, research, security, and operational purposes. Customer Data is handled in accordance with the MarketingStride Privacy Policy. MarketingStride retains all rights in such aggregated or de-identified information to the extent permitted by applicable law. MarketingStride may create and use aggregated or de-identified information derived from use of the Service, provided that such information does not reasonably identify Customer, an individual, or a Customer website as the source. MarketingStride may use and retain such information for analytics, service improvement, benchmarking, research, security, operational purposes, and development of the Service, subject to applicable law and the Privacy Policy. 8.1 Aggregated and De-Identified Information
9. Intellectual Property
MarketingStride and its licensors retain all right, title, and interest in the Service and all associated technology and materials, including: software; source code; algorithms; methodologies; documentation; reports; designs; graphics; trademarks; branding; logos; interfaces; workflows; and all related intellectual property. reusable components; report structures and formats; thresholds, mappings, and taxonomies; prompts and prompt logic; scoring and evaluation systems; models; Except for the limited rights expressly granted in these Terms, no ownership rights are transferred to Customers. Customers retain ownership of their Customer Data. Generated Outputs and Implementation Artifacts are produced from Customer Data using MarketingStride's proprietary technology. Customers may use Generated Outputs for their own internal business purposes and implementation efforts. MarketingStride retains ownership of: the Service; underlying software; analytical methodologies; report formats; implementation methodologies; platform functionality; and improvements to the Service.
Feedback
If Customers provide suggestions, recommendations, comments, ideas, enhancement requests, or other feedback regarding the Service, MarketingStride may use such feedback without restriction or compensation.
10. Acceptable Use & Protection of the Service
Customers may not, and may not permit or assist any third party to: violate applicable law or use the Service to facilitate unlawful activity; interfere with, disrupt, overload, or impair the operation, security, availability, or integrity of the Service; gain or attempt to gain unauthorized access to systems, accounts, data, functionality, administrative interfaces, or non-public APIs; reverse engineer, decompile, disassemble, decode, translate, or otherwise attempt to derive source code, algorithms, models, methodologies, scoring logic, evaluation logic, thresholds, mappings, prompts, prompt logic, internal decision rules, or other non-public components of the Service, except to the extent such restriction is prohibited by applicable law; use repeated queries, analyses, outputs, exports, automated collection, scraping, benchmarking, testing, or other techniques to systematically reconstruct or infer non-public MarketingStride methodologies, scoring or evaluation mechanics, thresholds, mappings, prompts, models, or protected configuration; use the Service, non-public documentation, Confidential Information, or Generated Outputs primarily to develop, train, benchmark, validate, replicate, or materially improve a product or service that competes with the Service, except to the extent such restriction is prohibited by applicable law; copy, reproduce, modify, create derivative works from, or commercially exploit protected elements of the Service except as expressly permitted by these Terms; circumvent or attempt to circumvent access controls, usage allowances, rate limits, entitlement controls, security controls, technical restrictions, or commercial limitations; perform penetration testing, vulnerability scanning, security testing, load testing, or similar testing against the Service without MarketingStride prior written authorization; remove, obscure, or alter copyright, trademark, confidentiality, attribution, or other proprietary notices; introduce malicious code, impersonate another person or organization, use fraudulent payment methods, or infringe intellectual-property rights. Automated access is permitted only through interfaces or APIs officially provided or authorized by MarketingStride. MarketingStride reserves the right to investigate suspected violations and take appropriate action to protect the Service and its Customers. 10.1 Confidentiality Each party may receive Confidential Information from the other. The receiving party will use the disclosing party's Confidential Information only as necessary to exercise rights or perform obligations under these Terms and will protect it using at least reasonable care. The receiving party may disclose Confidential Information only to employees, contractors, professional advisers, service providers, or representatives who have a legitimate need to know and who are subject to confidentiality obligations at least as protective as those applicable here. Confidential Information does not include information that the receiving party can demonstrate is or becomes publicly available through no breach of these Terms; was lawfully known without restriction before disclosure; is lawfully received from a third party without confidentiality obligation; or is independently developed without use of the disclosing party's Confidential Information. If disclosure is required by law, subpoena, or court order, the receiving party may disclose the required information and, where legally permitted, will provide reasonable notice so the disclosing party may seek protective treatment. Unauthorized disclosure or use may cause irreparable harm, and the disclosing party may seek appropriate equitable relief in addition to other remedies. 10.2 Beta, Preview & Early Access Features MarketingStride may make Beta Features available from time to time. Beta Features may be incomplete, experimental, contain errors, change materially, be subject to additional limitations, or be discontinued at any time. Unless MarketingStride expressly states otherwise in writing, Beta Features are provided for evaluation and testing, are not subject to service-level commitments, and should not be relied upon for production-critical purposes. Nonpublic Beta Features and nonpublic information regarding their functionality, performance, design, roadmap, or technical operation constitute MarketingStride Confidential Information. Customer will not publicly disclose screenshots, recordings, performance results, technical details, or other nonpublic information about Beta Features without MarketingStride prior written permission. 10.3 Third-Party Services & External Systems The Service may depend upon, interoperate with, reference, analyze, or provide links to third-party websites, artificial-intelligence systems, search platforms, hosting providers, payment processors, APIs, data sources, software, or other services. MarketingStride does not control third-party services and is not responsible for their availability, security, content, outputs, policies, accuracy, performance, or changes. Third-party services may modify their systems, interfaces, algorithms, policies, or functionality without notice to MarketingStride. Customer use of a third-party service is governed by Customer relationship with that third party. MarketingStride does not warrant that the Service will remain compatible with every third-party service. MarketingStride analysis of publicly accessible third-party content does not grant Customer any ownership or other rights in that content.
11. Availability and Support
MarketingStride continually works to maintain reliable availability of the Service but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency maintenance, security updates, internet disruptions, third-party service interruptions, and events beyond MarketingStride's reasonable control may temporarily affect availability. MarketingStride may publish service status information, planned maintenance notices, and operational updates through its website, application, or other communication channels. Where MarketingStride offers Service Level Agreements (SLAs), those commitments are governed by the applicable SLA and not by these Terms.
12. Privacy
MarketingStride respects Customer privacy and is committed to protecting Customer Data through reasonable administrative, technical, and organizational safeguards. The collection, use, disclosure, retention, and protection of Customer Data are governed by the MarketingStride Privacy Policy, which is incorporated into these Terms by reference. Customers acknowledge that use of the Service constitutes acknowledgment of the Privacy Policy as updated from time to time.
13. Disclaimers
MarketingStride provides the Service to assist Customers in evaluating how artificial intelligence systems may interpret website content. While MarketingStride strives to provide accurate, consistent, and useful analyses, the Service is inherently analytical and predictive in nature. AI systems, search platforms, and online technologies evolve over time and may produce different outcomes than those reflected in the Service. Except as expressly stated in these Terms or in a separate written agreement, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, MarketingStride disclaims all express and implied warranties, including warranties of: merchantability; fitness for a particular purpose; non-infringement; uninterrupted availability; error-free operation; and compatibility with third-party services. MarketingStride does not warrant or guarantee: search rankings; AI citations; AI Overview placement; visibility in AI-generated responses; website traffic; lead generation; conversions; revenue; business success; regulatory compliance; legal compliance; or any particular commercial outcome. Generated Outputs are recommendations derived from Customer Data and should not be considered legal, financial, tax, medical, or other professional advice. Customers remain solely responsible for reviewing all Generated Outputs before implementation or publication.
14. Limitation of Liability
To the maximum extent permitted by applicable law, MarketingStride's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total fees paid by the Customer to MarketingStride during the twelve (12) months immediately preceding the event giving rise to the claim. To the fullest extent permitted by law, MarketingStride shall not be liable for any: indirect damages; incidental damages; consequential damages; special damages; exemplary damages; punitive damages; loss of profits; loss of revenue; loss of business opportunities; loss of goodwill; loss of anticipated savings; loss or corruption of data; business interruption; or costs of substitute services. These limitations apply regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, or otherwise, even if MarketingStride has been advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Indemnification
Customer agrees to defend, indemnify, and hold harmless MarketingStride, its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: Customer's use of the Service; Customer's violation of these Terms; Customer's violation of applicable law; Customer Data; Customer's infringement of third-party rights; Customer's implementation or publication of Generated Outputs; Customer's misuse of the Service. MarketingStride reserves the right to assume exclusive control of the defense of any matter subject to indemnification.
16. Suspension and Termination
MarketingStride may suspend or terminate access to the Service where reasonably necessary to: protect the security, availability, or integrity of the Service; investigate fraud or abuse; enforce these Terms; address non-payment; comply with applicable law; protect MarketingStride, Customers, or third parties. Where practical, MarketingStride will provide reasonable notice before suspension. Immediate suspension may occur where advance notice would: compromise security; increase risk; interfere with an investigation; or violate legal obligations. Customers may terminate their Accounts at any time, subject to any applicable Subscription terms. Termination does not affect provisions intended to survive termination, including: payment obligations; ownership provisions; confidentiality; disclaimers; limitation of liability; dispute resolution; indemnification.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas without regard to conflict of law principles. Before initiating arbitration or litigation, the parties agree to attempt in good faith to resolve any dispute by providing written notice describing the dispute and allowing thirty (30) days for informal resolution. If a dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable commercial arbitration rules. The arbitration shall be conducted by a single arbitrator. The arbitrator may award any remedy available under applicable law except where these Terms lawfully limit such remedies. Judgment upon the arbitration award may be entered in any court having jurisdiction.
Class Action Waiver
To the fullest extent permitted by law, each party agrees that any claim shall be brought solely in its individual capacity and not as part of any: class action; collective action; representative action; or similar proceeding. The arbitrator shall have no authority to hear or consolidate class claims.
Injunctive Relief Exception
Nothing in this Section limits either party's right to seek temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to protect: intellectual property; confidential information; proprietary technology; or other rights for which monetary damages would be an inadequate remedy.
18. Export Controls
Customers agree to comply with all applicable export control, sanctions, and trade laws, including those of the United States. Customers may not use or access the Service in violation of applicable export control or sanctions laws.
19. Force Majeure
MarketingStride shall not be liable for delays or failures in performance resulting from events beyond its reasonable control, including: natural disasters; acts of God; war; terrorism; civil unrest; labor disputes; widespread internet outages; utility failures; government actions; cyberattacks; failures of third-party service providers; or similar events beyond MarketingStride's reasonable control. MarketingStride will use commercially reasonable efforts to restore Services as promptly as practicable.
20. Changes to These Terms
MarketingStride may modify these Terms from time to time. Material changes will become effective no sooner than thirty (30) days after notice is provided through the Service, email, or the MarketingStride website. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If the Customer does not agree to the revised Terms, the Customer must discontinue use of the Service before the revised Terms become effective. MarketingStride may preserve records of acceptance, including the applicable Terms version, acceptance timestamp, account or user identifier, and acceptance context. MarketingStride may require affirmative acceptance of updated Terms where changes are material, where required by law, or where MarketingStride determines renewed acceptance is appropriate. If affirmative reacceptance is required, continued access to some or all of the Service may be conditioned on acceptance of the updated Terms.
21. General Provisions
These Terms, together with the Privacy Policy, Refund Policy, Service Level Agreement (where applicable), Data Processing Addendum (where applicable), and any documents expressly incorporated by reference, constitute the entire agreement between the Customer and MarketingStride regarding the Service. If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. MarketingStride's failure to enforce any provision shall not constitute a waiver of that provision. Customers may not assign these Terms without MarketingStride's prior written consent. MarketingStride may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets. Nothing in these Terms creates a partnership, joint venture, agency, employment relationship, or fiduciary relationship between the parties. Section headings are provided for convenience only and do not affect interpretation.
